El Gobierno de España estudia la posibilidad de rebajar considerablemente los requisitos de aportación de capital social inicial actualmente vigentes en la constitución de sociedades limitadas. En concreto, fuentes del Gobierno hablan incluso de rebajar hasta sólo un euro el desembolso inicial requerido, disfrutando el empresario de un plazo de entre 6 meses y 1 año para terminar de desembolsar los 3.000 euros exigidos para crear una sociedad limitada.
Esta medida sería incluida en la futura Ley de Emprendedores, actualmente en fase de preparación por el Gobierno. En la que están participando varios Ministerios, como el de Empleo, Industria, o Economía, coordinados por la Oficina Económica del Gobierno; y se planea entre otras, incluir diversas medidas como la simplificación de trámites administrativos, licencias, mejora de la financiación y además, se pondrá en marcha la figura del autónomo de responsabilidad limitada, con limitaciones a la embargabilidad de la vivienda habitual del empresario y los materiales fundamentales para el ejercicio de su actividad.
Spanish Government considers allowing the incorporation of companies with just 1 Euro of initial capital, among other measures
The Spanish Government is considering the possibility of substantially decreasing the initial capital disimbursement requirements currently in force for incorporation of limited liability companies (Sociedades Limitadas). Specifically, Government sources speak of lowering the threshold to just 1 Euro at the moment of incorporation, with a 6 month to 1 year period for the disimbursement of the total 3000 Euro required for this kind of companies.
This measure would be included in the upcoming Entrepreneurs Law, currently in its preparation stage by the Government. Several Ministries are taking part in this process, like Employment, Industry or Economy, coordinated by the Executive’s Economic Office; and many other measures are being considered, such simplification of administrative processes, such as permits, improvements in financing, and the introduction of a new concept: the limited liability individual entrepreneur, introducing limitations to the seizing of the entrepreneur’s first residence and the materials required to perform his economic activities.
